WILD FORK MEMBERSHIP OFFER TERMS AND CONDITIONS

By signing up for a Membership, you agree to these Terms.  Please read them carefully.   

  These terms and conditions (these “Terms”) for Wild Fork membership based services govern your purchase and use of Wild Fork Unlimited (the “Membership”) offered by Food Ventures North America, Inc. dba / Wild Fork Foods (“Wild Fork Foods”), its parent, subsidiaries and/or affiliates (collectively with Wild Fork Foods, “we”, “us”, and “our”).  Participation in a Membership is subject to these Terms and our Terms of Use and Privacy Policy, which are incorporated herein by reference.   

 By signing up for a Membership, you are agreeing to these Terms.  Other services or products offered by us, including but limited to, order minimums, taxes, air delivery fees, are not part of the Membership and are subject to change.  If you do not agree to these Terms, do not sign up for a Membership.   

 The Membership is a delivery program that allows you to lock in free local delivery, subject to minimum order requirements, for the duration of the Membership and is available on an annual or monthly basis.  You can check to see whether a zip code is eligible for the free local delivery by entering the zip code in the zip code banner on our website. If the banner states, “Membership Available,” the zip code is eligible for free local delivery under the Membership.  If the banner states, “Membership Not Available,” the zip code is only serviced by air delivery or UPS group delivery only and is not eligible for free local delivery under the Membership. If the zip code is not eligible for free local delivery, you will be responsible for shipping fee to that zip code. You are responsible for confirming the Membership is available in your area and/or in the areas that you plan to deliver to, and such services shall be subject to the termination policy stated herein.  If you sign-up for a Membership and it is not available in your area and/or the areas that you plan to deliver to, you can reach out to us at talk@wildforkfoods.com or our toll-free number at 1-833-300-9453; however, refunds, if any, shall be in our sole discretion.  We are not obligated to refund you, and shall have no liability to you, if you sign up for a Membership and it does not service your area or the area that you plan to deliver to, or if you sign up for a Membership in violation of these Terms.   

 Effective February 1, 2023, Wild Fork Unlimited will no longer be available in select zip codes. Any members with an existing Wild Fork Unlimited membership in an affected zip code will continue to enjoy their existing member benefits until the current membership term expires, as displayed on their personal Wild Fork account page.  Please visit our FAQ for more information or reach out to us at talk@wildfork.com if you have questions about your Wild For Unlimited membership.   

 

  1. HOW THE MEMBERSHIP WORKS   

 

You may receive an offer on-site, in-app or by email for specific annual and/or monthly Membership (each, an “Offer”).  Each Offer will include important details and terms, such as where and when the Membership may be used, the benefit(s) conferred by the Membership, the cost of the Membership and the billing interval (“Billing Cycle”).  Please refer to your Offer for details before purchasing a Membership.  When you sign up for a Membership, you agree to have your credit card charged every Billing Cycle on a recurring basis until you cancel your Membership in accordance with these Terms, and you agree to these Terms and any specific terms of the Offer.  Offers and Membership benefits are subject to change.   

 

  1. PAYMENT   

 

  1. Payment.  When you sign up for a Membership, you will be charged the rate for your first Billing Cycle on the date of purchase and your Membership will be activated for the term set forth in your Offer.  Unless you cancel your Membership in accordance with these Terms, you will be charged in accordance with the Billing Cycle stated in your Membership based on the initial purchase date on your selected payment method.  BY DEFAULT, AND WITH PRIOR NOTICE TO THE EXTENT REQUIRED BY APPLICABLE LAW, YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW AT THE BEGINNING OF EACH BILLING CYCLE, AND YOUR MEMBERSHIP RATE WILL BE AUTOMATICALLY CHARGED TO YOUR SELECTED PAYMENT METHOD.  If you do not want your Membership to automatically renew, you may cancel your Membership in accordance with Section 3.   

 

  1. Declined Payment Method.  If your selected payment method is declined, we will prompt you for a new payment method.  However, we reserve the right to suspend or terminate any unpaid periods in your Membership with no further charges to you.  We are not responsible for any fees charged by your, or the cardholder's, bank including, including but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by your, or the cardholder's, bank.  Please reach out to Wild Fork Foods at talk@wildforkfoods.com or our toll-free number at 1-833-300-9453 to report any unauthorized charges within sixty (60) days of identifying such charges.   

 

  1. Billing Cycles   

 

  1. Monthly Plans.  For monthly plans, we will charge you on the first day of your Membership term and automatically on the same date of each subsequent month (the “Monthly Pay Date”).  We will continue to charge you for your Membership, including any add-ons, on a monthly basis unless you cancel your Membership in accordance with Section 3(a).   

 

  1. Annual Plans.  For annual plans, we will charge you on the first day of your Membership term and automatically on the same date of each subsequent year (the “Annual Pay Date”).  We will continue to charge you for your Membership, including any add-ons, on an annual basis unless you cancel your Membership in accordance with Section 3(b).   

 

  1. CANCELLING YOUR MEMBERSHIP   

 You may cancel your membership at any time.  All cancellations are subject to terms and conditions below.  To cancel your Membership, please visit the “Billing” page after logging into your account.    

  1. Monthly Plans.  If you cancel your membership at least twenty-four (24) hours prior to your next scheduled payment, you will not be charged on the next Monthly Pay Date.  Cancellation requests outside of this period must be sent to Wild Fork Foods at talk@wildforkfoods.com or our toll-free number at 1-833-300-9453 and are at the discretion of Wild Fork Foods.  If you cancel your membership within twenty-four (24) hours of your next scheduled payment, you will be billed for the next Billing Cycle and your access to the Membership will terminate at the end of the next Billing Cycle.  If you cancel in the month preceding your Monthly Pay Date, you will not be issued any refunds or credits of prepaid and unused fees for the remainder of the current month, and you will continue to have access to the Membership until the following Monthly Pay Date.   

 

  1. Annual Plans.  If you cancel your Membership during the membership terms, you will not be issued a refund or credit for any prepaid and unused fees of the remainder of the Membership term, and you will continue to have access to the products until the following Annual Pay Date.   

 

  1. COMBINING PROMOTIONS   

 

Notwithstanding the terms and conditions of other promotions offered by Wild Fork Foods or third parties, Wild Fork Foods, in its sole discretion, may or may not permit, as determined in our sole discretion, your Membership to be combined with other promotions.    

  1. CHANGES TO MEMBERSHIP PROGRAMS   

 We reserve the right to modify or stop offering the Membership or change the Membership rates, at any time in our sole discretion.  In the event that we increase the Membership rate, we will provide you with thirty (30) days prior notice via email before such changes take effect.  All changes will be effective upon your next Billing Cycle.  If you do not agree with the price change, you may reject the new Membership rate, and may cancel your Membership according to the instructions in Section 3.  Any cancellations under this Section must occur prior to the next Billing Cycle in which the new pricing will take effect; otherwise, the new pricing will automatically take effect upon the new Billing Cycle.    We may terminate your Membership at our discretion and without notice.  In such event, we will give you a pro-rated refund based on charges already applied to your current billing period.  We will not issue any refunds for terminations related to conduct that we determine, in our sole discretion, violates these Terms, any applicable law, or involves fraud or misuse of the Membership.    

  1. CHANGES TO THESE TERMS   

 We reserve the right to modify these Terms.  If we make material changes to these Terms while you have an active Membership, we will notify you either in the membership section of the applicable Wild Fork Foods website and/or via email.  It is your responsibility to periodically review these Terms for updates and to keep your Membership email updated.  Revised Terms become effective at the beginning of the next Billing Cycle, and your continued use your Membership constitutes your acceptance of the revised Terms.  If you are not willing to agree to the revisions, you may cancel your membership in accordance with Section 3.    

  1. TRANSFER OF RIGHTS   

 Our rights and obligations under the Membership may be assigned or transferred by us to any other related or unrelated entity at any time, and performance shall be the responsibility of that entity.  You may not assign or transfer your Membership and any attempt to do so will be void.    

  1. INTERPRETATION OF THESE TERMS   

 All interpretations of these Terms will be in our sole discretion and all decisions will be final.    

  1. DISCLAIMER   

 The Membership and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons.  We are not responsible for any unavailability, interruptions or errors of the Membership or its features.  We may from time to time request information from you to confirm your identity before renewing your Membership, and we may delay your access to the Membership, without liability, until you comply with this information request.  The Membership and all the information accessible through it are provided for information purposes only on an "AS-IS" and "AS-AVAILABLE" basis.  We, our information providers and their agents make no representations, warranties, or guarantees of any kind, whether express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Membership, the information, materials, content, availability, and products.  The Membership and these Terms do not modify the contractual relationships among or between the individuals and entities that use our technology to offer goods or services, except as expressly set forth herein.  To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties or merchantability and fitness for a particular purpose.

FREE TRIAL Terms & Conditions 

By signing-up for a Membership Free Trial, you agree to these Free Trial Terms and Conditions.  Please read them carefully. 

These terms and conditions (these “Free Trial T&Cs”) govern your participation in the ninety (90) day free trial of a Wild Fork Unlimited Membership (“Membership Free Trial”) offered by Food Ventures North America, Inc. dba / Wild Fork Foods (“Wild Fork Foods”).  This offer for the Membership Free Trial expires on December 31, 2024, at 11:59pm EST, and customers must complete the Membership Free Trial registration process on or before such date in order to take advantage of the Membership Free Trial. Participation in the Membership Free Trial is subject to these Free Trial Terms and our Terms of Use, Privacy Policy, and Wild Fork Unlimited Terms and Conditions, which are incorporated herein by reference. The Membership Free Trial is only available to customers who: (a) have never made a purchase with Wild Fork Foods or have not made a purchase with Wild Fork Foods in the past twelve (12) months or who have only made one (1) purchase with Wild Fork Foods between January 1, 2024 – June 2, 2024; and (b) do not currently have an active Wild Fork Unlimited Membership; and (c) have a local zip code that is eligible for a Wild Fork Unlimited Membership. Wild Fork Foods reserves the right to confirm your eligibility requirements in the Membership Free Trial. If you are offered a Membership Free Trial, you may sign-up for such free trial by following the offer’s prompts and registration process.  To take advantage of the Membership Free Trial, for the duration of the Membership Free Trial, you will be required to create and maintain a Wild Fork Foods account (if you do not already have one) and provide and maintain a current, valid credit card on file. Certain cards may not be able to be accepted, such as corporate or business cards. Your Membership Free Trial will begin the day you complete the Membership Free Trial registration process. While you will not be charged for your Membership Free Trial, you will automatically be upgraded to an annual paid Wild Fork Unlimited Membership at the end of the ninety (90) day free trial period. By registering for the Membership Free Trial, you authorize us to charge the credit card that you have on file the annual Wild Fork Unlimited Membership fee upon the expiration of your Membership Free Trial. You may cancel your Membership Free Trial at any time by going to your Wild Fork account and selecting “Cancel Membership,” or by contacting Wild Fork Customer Care at talk@wildforkfoods.com or our toll-free number at 1-833-300-9453.  If you are not offered a free trial or do not meet the eligibility requirements, you can still sign-up for a Wild Fork Unlimited Membership at https://wildforkfoods.com/account/login/.
